Guidewire is looking for an exceptional enterprise SaaS contract negotiator, who relishes the opportunity to work with an enterprise sales teams, large and varied customers, and internal colleagues on important, complex deals  Our customers place incredible trust in us to help them adapt and succeed which means our customer contracts are each individually meticulously negotiated, requiring creative legal thinking combined with pragmatic business collaboration to ensure success. Additionally, our company continues on its significant growth path, with business colleagues everywhere requiring commercial legal support.  We need an attorney who does not shy away from such challenges, and enjoys working in a fast-pace, but very collegial environment, with fellow employees around the country and the world.   Our team of seasoned legal professionals are used to assuming leadership in the transaction process, relying on energy and creativeness to ensure deal closure. Responsibilities

  • Work closely with our global sales and procurement teams on strategic enterprise transactions
  • Analyze, draft, and negotiate enterprise agreements, including SaaS subscription agreements, software licensing agreements, global services agreements, and the overlap and interaction of the same
  • Ability to work with the legal and procurement representatives of large enterprise customers, creatively driving deals to closure
  • Provide clear, concise advice on relevant issues and risks to our senior employees and executives
  • Contribute to the continuous improvement of company templates, refining our approach to risk  allocation in contracting
  • Partner closely with other members of the legal team to provide legal advice and support as needed by company colleagues at all levels and in various teams
  • Gain exposure to a range of commercial and corporate legal matters through other legal team assignments

Requirements

  • JD from a top law school and member of the Bar
  • 5 years of commercial legal experience, preferably in-house with a successful, high-growth enterprise SaaS company
  • Superlative negotiation skills with large enterprise companies, with an ability to drive strategic deals to closing while protecting company interests
  • Experience with enterprise SaaS systems that deal with sensitive data, and comfort with the related data privacy and confidentiality issues and risks
  • Excellent legal and business judgment with the ability both to assess risks quickly and to communicate those risks to business partners in plain English
  • Track record of taking initiative, working independently, handling multiple projects with competing deadlines, and being comfortable dealing with ambiguity
  • Comfort working with multiple teams, at all levels, to solve problems in a fast-paced environment
  • Friendly and collaborative with a passion for learning
