Guidewire Software is looking for a seasoned corporate generalist with a strong background in corporate governance, public company work, organizational risk assessment and strategic transactions. Reporting directly to the Chief Administrative Officer/General Counsel, this role will be a key member of the legal team. We are seeking a self-motivated individual who will be comfortable working in an exciting, high-growth and fast paced environment.

The successful candidate will be required to provide advice, advocacy and other services to senior members of the organization. The Assistant General Counsel (AGC) must have sound business sense and be adept at assessing risks of situations as they arise. Superior judgment, strong analytic abilities and a collegial approach to problem solving, combined with a polished, diplomatic presentation style and comfort dealing with senior executives, are critical to this role. The AGC’s primary responsibilities:


  • Act as a key business partner to the executive team and the Board, advising on risk mitigation, applicable law, corporate governance and policies, oversight responsibilities and other public company obligations and best practices.
  • Assist the CAO/GC with various strategic projects as needed.
  • Oversee the legal aspects of preparing the company’s SEC filings and other public disclosures, as well as the annual shareholder meeting.
  • Oversee legal aspects of equity plan administration, trading windows and employee education.
  • Provide strategic counseling, as well as drafting and negotiating business development and other commercial agreements as needed.
  • Advise the internal HR team on legal aspects of employee relations.
  • Work with the broader legal team to respond to requests and queries from individuals in all areas and all levels within the organization, and proactively recognize and address potential legal issues as they arise.
  • Manage outside counsel, including billing, in line with the corporate legal budget.


Your skills and experience:

  • Minimum of 10 years legal counsel experience in the corporate and securities department of a major law firm and/or in-house law department of a public technology company (preferably both) working on general corporate and securities matters.
  • Seasoned professionalism, with strong self-direction, demonstrated career progression and managerial experience, combined with a desire to continue to learn and advance.
  • Prior experience with corporate governance, M&A, regulations (including SEC requirements & reporting), human resources and contracting. Experience with multi-national operations desirable.
  • Impeccable integrity through all tasks and interactions.
  • Excellent collaboration skills with proven ability to work effectively cross functionally.
  • Strong organizational, analytical, and negotiation skills with extraordinary attention to detail.
  • Ability to work under pressure, juggle multiple projects with contending priorities, meet deadlines, and adapt to change in a dynamic environment.
  • Excellent verbal and written communication skills.
